Buying and Selling Real Estate in Panama: How to Purchase, Sell and Structure Your Property Securely

Investing in real estate is one of the most important financial decisions a person or family can make. However, a secure real estate transaction does not depend solely on the price or location of the property, but on proper legal advice at every stage of the process. In Panama, buying, selling and, above all, correctly structuring the ownership of a property can make the difference between a protected investment and one exposed to unnecessary risks.

The importance of legal advice in a purchase or sale. Every real estate transaction involves legal aspects that often go unnoticed by the buyer or seller: registered liens, easements, discrepancies in measurements, outstanding taxes or title problems. Having legal support from the outset makes it possible to anticipate these risks, negotiate on better terms and close the transaction with complete peace of mind.

Key aspects of the purchase and sale process. A well-managed transaction rests on four fundamental pillars: 1) Due diligence — verification of the property's registry status, the seller's title, liens, mortgages and tax standing before signing any commitment. 2) Structuring the transaction — defining the most suitable way to acquire the property: in your personal name or through a legal vehicle that protects your assets. 3) Contracts — drafting and negotiating the promise of sale, the final contract and, where applicable, leases or usufructs, carefully reviewing every clause. 4) Closing and transfer — signing before a notary, payment of the applicable taxes and registration of the transfer at the Public Registry to formalize ownership.

Structuring the property: corporation or private interest foundation. Once the purchase is decided, a key question arises: in whose name should the property be held? In Panama there are two widely used legal vehicles to protect and organize real estate assets. The Corporation (Sociedad Anónima) is the ideal vehicle when the property is conceived as an investment or a business: it separates personal assets from commercial ones, facilitates administration and transfer, and organizes the participation of several investors in a single project. The Private Interest Foundation is the most flexible legal vehicle for estate planning, asset protection and the transfer of assets to future generations: it allows succession to be planned during one's lifetime, safeguards assets in an autonomous estate, and provides continuity and confidentiality for family wealth.

In practice, the optimal structure depends on each client's objectives: if the goal is to invest, rent or develop, a corporation is usually the right choice; if the goal is to protect, organize and pass on assets, the foundation is the most suitable option. In many cases, both are combined into a single structure.

Conclusion. Buying or selling a property in Panama is much more than signing a contract: it is a decision that must be backed by comprehensive legal advice, from due diligence to asset structuring. At Motta, Yaafar & Díaz we advise buyers, sellers and investors on all types of purchase and sale transactions, as well as on structuring their assets through corporations and private interest foundations, with the rigor of a top-tier firm and the closeness of a boutique practice.
